Terms and Conditions

DRAFT — NOT YET REVIEWED BY A LAWYER. This text is a template, not legal advice. It must be reviewed and approved by a lawyer admitted in Germany before this site goes live. Everything in square brackets is a placeholder and must be replaced with the real company details. In case of doubt the German version prevails.

Section 1 Scope and contracting parties

These terms apply to all contracts between [company name] (“we”) and consumers or businesses (“the customer”) concerning the procurement of electronic vignettes and section-toll tickets. Deviating terms of the customer do not become part of the contract unless we expressly agree in text form.

Section 2 Subject matter — we act as a procurement service

What we owe is a service: obtaining and registering an electronic vignette on behalf and for the account of the customer with the issuing body responsible for the country concerned. We are neither an issuing body nor a toll operator, we do not belong to them and we are not affiliated with them.

The right to use the tolled roads arises solely between the customer and the relevant issuing body. The customer may buy the vignette there directly at any time, without our service fee.

Section 3 Conclusion of contract

  • The customer enters number plate, country of registration, vehicle type, period and start of validity.
  • Before the order is placed, the product, period, plate and total price with its breakdown are shown directly above the order button.
  • By clicking “Zahlungspflichtig bestellen” the customer makes a binding offer (section 312j (3) BGB).
  • The contract is concluded once we confirm receipt of the order or begin performing it. A payment confirmation from the payment service provider alone is not yet an acceptance.
  • We store the contract text and send it to the customer together with these terms and the withdrawal instructions by email on a durable medium.

Section 4 Prices and service fee

The total price shown consists of two separately displayed parts: the charge set by the issuing body for the vignette, and our service fee for procurement, registration, checking and sending the confirmation. Both parts are shown before the order is placed, on every product page and in the order summary.

All prices are final prices in euro including statutory VAT. There are no delivery costs, as the confirmation is delivered electronically. There are no subscriptions and no automatic renewal: every order is a one-off purchase.

Section 5 Performance and deadlines

We normally carry out the order within 15 minutes during our service hours, and at the latest by the end of the following working day. We expressly do not promise immediate round-the-clock performance. The start of validity follows the rules of the country concerned and is stated on the product page.

If for reasons within our responsibility the order cannot be performed by the requested start of validity, we inform the customer without delay and refund the amount paid in full, including the service fee.

Section 6 Customer duties

The customer is responsible for the accuracy of the details provided, in particular the number plate, country of registration, vehicle type and start of validity. The plate is passed to the issuing body exactly as the customer entered it. Once registered, a vignette is tied to the plate transmitted and, as a rule, can no longer be changed or cancelled there.

The customer checks the order confirmation immediately on receipt and reports any discrepancy at once to [kontakt@domain.tld]. Reports received before the order is carried out can be handled free of charge.

Section 7 Right of withdrawal

Consumers have a statutory right of withdrawal. Details, deadlines and the model withdrawal form are on the “Widerruf” page. The customer can declare withdrawal at any time via the “Vertrag widerrufen” page.

The right of withdrawal expires early once we have fully performed the service, provided the customer expressly consented before performance began and acknowledged losing the right of withdrawal upon complete performance (section 356 (4) BGB).

Section 8 Refunds

  • We did not obtain the vignette, or not by the agreed start of validity: full refund including the service fee.
  • The customer reports an error in the details before we carried out the order: full refund.
  • The customer cancels before the order is carried out: full refund.
  • The customer reports an error only after the vignette was registered for the plate transmitted: refund of the service fee. We cannot refund the charge passed on to the issuing body, because the registration cannot be reversed there.

We decide on a refund within three working days of receiving the report. The refund is made to the same means of payment the customer used; the payment service provider typically needs a further five to ten working days. We charge nothing for the refund.

Section 9 Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. For slight negligence we are liable only for breach of a material contractual duty, limited to the foreseeable damage typical of this type of contract. We are not liable for fines caused by incorrect details supplied by the customer.

Section 10 Changes to these terms

Contracts already concluded remain subject to the version sent to the customer at the time of conclusion. Changes apply only to future orders.

Section 11 Applicable law and place of jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the state in which the consumer is habitually resident remain unaffected. Towards businesses, the place of jurisdiction is [town]. [To be confirmed by a lawyer.]

Section 12 Severability

Should any provision be invalid, the validity of the remaining provisions is unaffected. The statutory rule takes the place of the invalid provision.
